Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhizReports website, product, and related services (collectively, the "Service") provided by DataDrip or its affiliates ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility and Account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

2. Use of the Service

We grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms and your subscription plan. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You will not (and will not permit others to):

• Copy, modify, distribute, or create derivative works of the Service or our intellectual property.
• Reverse engineer, decompile, or attempt to extract the source code of the Service (except where permitted by law).
• Use the Service to transmit malware, spam, or illegal content, or to violate any third-party rights.
• Circumvent or disable any security or access controls, or exceed authorized access.
• Use the Service for benchmarking or competitive purposes without our prior written consent.
• Resell or sublicense the Service except as expressly permitted by your plan or a separate agreement.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

You retain all rights in the data you upload or connect to the Service ("Customer Data"). You grant us the limited rights necessary to provide, operate, and improve the Service (e.g., to store, process, and display Customer Data). You are responsible for ensuring that you have all rights and consents needed to provide Customer Data to us and that your use of the Service complies with applicable data protection laws.

These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Service. We may use feedback and suggestions you provide without obligation to you. 5. Payment and Subscription

Fees for paid plans are as described on our pricing page or in your order. You agree to pay all fees when due. Unless otherwise stated, subscriptions renew automatically, and we may change fees upon reasonable notice. Refunds are handled in accordance with our refund policy (if any) or applicable law. You are responsible for any taxes (other than our income taxes).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE (AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF GREATER, ONE HUNDRED U.S. DOLLARS). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates and their officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms or any law or third-party rights.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service for cause (including breach of these Terms) or for convenience with reasonable notice where required. Upon termination, your right to use the Service ceases. We may retain your data for a limited period after termination as described in our Privacy Policy or as required by law.

10. General

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. We may modify these Terms from time to time; we will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or through the Service. Continued use after changes constitutes acceptance. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved in the courts located in Delaware (or as otherwise required by mandatory law).
